1. INTRODUCTION
These Terms of Service ("Terms") govern your access to and use of the Keychain Wallet mobile application and related services (collectively, the "Service") provided by Stable Labs Corporation d/b/a Keychain and our subsidiary/partner company Fincrypt LLP (collectively, "Company," "we," "our," or "us"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
2. ELIGIBILITY
You must be at least 18 years old to use our Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement with the Company. The Service is available only to individuals located in the United States and India.
3. ACCOUNT REGISTRATION
3.1 Account Creation
To use certain features of the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3.2 Identity Verification
You agree to provide personal information for identity verification purposes, including but not limited to your full name, date of birth, address, government-issued identification, and tax identification numbers. You consent to our verification of this information with third-party service providers and relevant government databases.
3.3 Account Security
You agree to maintain the security of your account by selecting a strong password, enabling available security features, and notifying us immediately of any unauthorized access or security breach.
4. SERVICES
4.1 Digital Wallet Services
The Service provides a digital wallet for storing, sending, and receiving stablecoins and other supported digital currencies between the United States and India. Transaction fees, limits, and processing times are displayed in the application and may change from time to time.
4.2 Currency Conversion
The Service may include conversion between different currencies, including fiat currencies and digital currencies. Exchange rates are set by the Company or our partners and may include a spread or markup.
4.3 Service Availability
We strive to maintain the availability of the Service but do not guarantee uninterrupted access. The Service may be unavailable during scheduled maintenance or due to technical issues.
5. TRANSACTION TERMS
5.1 Authorization
By initiating a transaction through the Service, you authorize us to execute the transaction on your behalf. Transactions may be delayed, rejected, or canceled due to compliance requirements, technical issues, or other reasons.
5.2 Transaction Finality
All completed transactions are final and cannot be reversed by the Company. You are solely responsible for ensuring the accuracy of recipient information and transaction details.
5.3 Transaction Limits
The Company may impose transaction limits based on verification level, account history, regulatory requirements, or risk factors. These limits may change at any time and will be displayed in the application.
6. USER CONDUCT
6.1 Prohibited Activities
You agree not to use the Service for any illegal or unauthorized purpose, including but not limited to:
- Money laundering, terrorist financing, or other financial crimes
- Fraudulent activities or scams
- Purchasing illegal goods or services
- Violating sanctions or export control regulations
- Infringing intellectual property rights
- Harassing, threatening, or harming others
- Attempting to gain unauthorized access to the Service or other users' accounts
- Using the Service in a manner that disrupts its functionality or places excessive load on our systems
6.2 Compliance with Laws
You agree to comply with all applicable laws and regulations, including those related to financial services, digital currencies, taxation, and data privacy.
7. FEES AND CHARGES
7.1 Service Fees
We charge fees for certain transactions and services as disclosed in the application. Fees may vary based on transaction type, amount, destination, and other factors.
7.2 Third-Party Fees
You may incur additional fees from third parties, such as bank charges, network fees, or currency conversion fees, which are separate from our service fees.
7.3 Fee Changes
We reserve the right to change our fee structure at any time with reasonable notice provided through the application or by email.
8. INTELLECTUAL PROPERTY
8.1 Ownership
The Service, including all content, features, and functionality, is owned by the Company and protected by copyright, trademark, and other intellectual property laws.
8.2 Limited License
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purposes in accordance with these Terms.
8.3 Restrictions
You may not copy, modify, distribute, sell, lease, or create derivative works based on the Service or its content without our prior written consent.
9. PRIVACY AND DATA PROTECTION
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy explains how we collect, use, and protect your personal information.
10. DISCLAIMERS
10.1 Service Provided "As Is"
The Service is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
10.2 Price Volatility
Digital currency prices may be volatile. We do not guarantee the value of any digital currency and are not responsible for any losses you may incur due to price fluctuations.
10.3 Regulatory Changes
Digital currency regulations are evolving. Changes in laws or regulations may adversely affect the use, transfer, or value of digital currencies.
11. LIMITATION OF LIABILITY
11.1 Exclusion of Damages
To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service.
11.2 Cap on Liability
Our total liability for all claims related to the Service shall not exceed the greater of the amount of fees you paid to us during the three months prior to the claim or $100.
11.3 Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, power outages, network failures, pandemic, governmental actions, or civil unrest.
12. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, costs, or expenses arising out of or related to your use of the Service, violation of these Terms, or infringement of any rights.
13. MODIFICATION AND TERMINATION
13.1 Modification of Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes through the application or by email. Your continued use of the Service after such notification constitutes acceptance of the modified Terms.
13.2 Termination by User
You may terminate your account at any time by following the instructions in the application or by contacting our customer support.
13.3 Termination by Company
We may suspend or terminate your access to the Service at any time for any reason, including but not limited to violation of these Terms, suspicious activity, or compliance with legal or regulatory requirements.
13.4 Effect of Termination
Upon termination, your right to use the Service will immediately cease. Provisions that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
14. GOVERNING LAW AND DISPUTE RESOLUTION
14.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of laws principles.
14.2 Arbitration
Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration shall be conducted in New Jersey, and the judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
14.3 Class Action Waiver
You agree to resolve any disputes on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.
14.4 Small Claims Court
Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within the scope of that court's jurisdiction.
15. MISCELLANEOUS
15.1 Assignment
You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign or transfer these Terms without your consent.
15.2 Entire Agreement
These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and the Company regarding your use of the Service.
15.3 Severability
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.
15.4 No Waiver
Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
15.5 Force Majeure
We shall not be liable for any failure to perform our obligations under these Terms where such failure results from any cause beyond our reasonable control.
